AWALL LLC – Terms & Policies

Buyer Classification

For purposes of these Terms & Policies:

  • “Consumer” means any individual purchasing primarily for personal, family, or household use.
  • Business Buyer” means any entity or individual purchasing for commercial, resale, distribution, or professional use.

If Buyer qualifies as both, Business Buyer classification will apply to the maximum extent permitted by law.

Order Acceptance & Payment

Orders are not binding until accepted by AWALL LLC (“Seller”).

Payment of any deposit specified on an invoice constitutes acceptance of these Terms & Policies and forms a binding agreement between Seller and Buyer.

Seller may require a deposit and/or full payment prior to shipment. Any remaining balance must be paid in accordance with the invoice terms. Seller reserves the right to delay shipment or delivery until full payment is received.

Shipment or delivery does not relieve Buyer of any payment obligations.

Cancellation & Return Policy

Pre-Orders

Certain products may be offered as pre-orders for items not yet in inventory.

  • A deposit may be required
  • Buyer may cancel a partially paid pre-order prior to fulfillment, subject to a 10% cancellation fee
  • Once fully paid or shipped, orders are non-cancelable and non-refundable

Custom Orders

Custom orders—including non-standard sizes or configurations—are non-cancelable and non-refundable once the deposit is paid and the order is placed.

Standard Orders

Orders that are fully paid or shipped are non-cancelable and non-refundable, except as required by applicable law.

Returns

Returns are not accepted once full payment has been received and the product has shipped, except where required by law.

All products include a 2-year limited warranty and lifetime customer support.

Installation Services (If Applicable)

Installation services may be offered by Seller for certain products, either as a standalone service or as part of a bundled offering.

Where installation is included or purchased, the scope of work will be defined in the applicable quote, invoice, or written agreement.

If installation services are not expressly included, Buyer is responsible for installation and all related site requirements, including but not limited to electrical, mounting, structural, and compatibility conditions.

Seller is not responsible for damage, performance issues, or failures resulting from installation performed by Buyer or third parties not authorized by Seller.

Nonpayment; Remedies

If Buyer fails to make any required payment, Seller may, in addition to any other remedies:

  • Cancel the order and retain any deposit
  • Delay or withhold shipment or delivery
  • Resell the product without further notice where commercially reasonable
  • Recover damages, including any deficiency between resale and contract price
  • Recover reasonable costs of collection

Late Payments

Past due amounts shall accrue interest at 1.5% per month (or the maximum permitted by law, if less), from the due date until paid.

Delivery & Risk of Loss

Delivery dates are estimates only and not guaranteed.

Risk of loss transfers to Buyer upon shipment from Seller’s facility or transfer to the carrier.

Damages & Claims

Buyer must inspect all shipments immediately upon delivery.

  • Any damage, shortage, or issue must be noted on the Proof of Delivery (POD) at the time of receipt
  • The delivery driver must acknowledge such notation
  • Photographic evidence must be submitted within 24 hours

Failure to follow these requirements may limit Seller’s ability to process claims.

If shipment is severely damaged, Buyer should refuse delivery.

Force Majeure

Seller shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, supply chain disruptions, labor shortages, transportation delays, or governmental actions.

Warranty

All products include a 2-year limited warranty covering defects in materials and workmanship under normal use. Full warranty terms are provided separately.

Business Buyer Terms (Additional Protections)

For Business Buyers only:

  • No returns except as expressly agreed in writing
  • Buyer assumes responsibility for resale, installation coordination, and downstream use
  • Seller may pursue collection costs including reasonable attorneys’ fees where permitted
  • Seller may resell goods upon Buyer default without additional notice beyond commercially reasonable efforts
  • To the maximum extent permitted by law, Business Buyer waives implied warranties

Consumer Rights

Nothing in these Terms & Policies limits rights that cannot be waived under applicable consumer protection laws. Where conflict exists, mandatory consumer protections shall prevail.

Limitation of Liability

To the maximum extent permitted by law, Seller’s total liability shall not exceed the amount paid by Buyer for the applicable order.

Seller shall not be liable for any indirect, incidental, consequential, or punitive damages.

European Union Customers

For orders shipped to the European Union, consumers may cancel or return orders within 14 days as required by applicable law. Items must be unused, in original packaging, and accompanied by proof of purchase.

Governing Law

These Terms & Policies shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Entire Agreement

These Terms & Policies, together with any applicable invoice, constitute the entire agreement between Seller and Buyer and supersede all prior or contemporaneous agreements or understandings.
